Prices: All prices quoted are net unless discount is shown.

Quotations: Quotations expire automatically 60 days from the date the proposal was made unless terminated by written notice within this period.

Terms: Domestic: Net 30

International: Irrevocable and confirmed Letter of Credit through a prime U.S. bank, unless a line of credit has been established with Oseco.

F.O.B.: Shipment is F.O.B. Broken Arrow, Oklahoma, no freight allowed. Normal shipments are collect, but if Buyer requests, we will prepay and add to invoice.

Orders: Orders are subject to acceptance by the seller's home office.

Taxes: Taxes, duties or levies that are applicable to the sale will be added to the invoice unless otherwise stated.

Shipment or Delivery Schedules:
Delivery schedules are based on production lead time, material availability and labor conditions. Oseco shall not be liable in any way for failure or delay in making the deliveries proposed.

Cancellation: Orders in process are subject to a cancellation charge. The extent of work performed will govern the amount of charge.

Returned Material:
No equipment may be returned for credit or adjustment without permission in writing from our Broken Arrow, Oklahoma office. On all equipment approved for return or credit, a charge will be made to cover re-inspection and re-conditioning as required. Collect shipments will not be accepted at the factory unless authorized by prior agreement.

Invoice:

Design: We reserve the right to make changes in design of equipment of our manufacture without notice, without incurring any obligation to furnish or install such changes and modifications on products previously or subsequently sold.

Warranty

We warrant our products to conform to the specifications ordered by the customer and accepted by us and we further warrant our products free of manufacturing defects, for a period of one year from our shipping date, provided that the product has been properly installed in rated service and provided that we are notified of the alleged failure to conform within thirty (30) days of its discovery and we will replace any product which does not so conform with a new one, or will refund the original price paid, at our option.

The failure to conform must be discovered within one year of our shipping date and we must receive notification of that discovery within thirty (30) days thereafter, or we will not perform under this warranty.

This express warranty is in lieu of all other express and of all implied warranties, whether implied by law or otherwise, including warranties of merchantability and warranties of fitness and it is agreed that there are no understandings or representations whatsoever not specified herein.

In no event shall we be liable for any incidental or any other damages or loss and our sole responsibility shall be to furnish a replacement for any product found to be defective or nonconforming within the said one year period. We shall not, for example and not in limitation of the above, be liable for any costs of replacement not for any loss due to failure after installation, above and beyond the cost of furnishing the replacement product or refunding the original price paid.

Purchaser agrees that upon any resale, purchaser will include in the contract for resale, provisions which are necessary to define recoveries against us in accordance with the above.

The above is our only liability.
